Generate the assembly on CLR v2.0xxx, using Visual Studio 2008 or an earlier version, and then add it to a Visual Studio 2010 project as a reference. New instances of a class encapsulated in this assembly can be created on both .NET Framework 3.x or 4.0, since the runtime version of the assembly becomes 2.0xxxx.再現の手順
