Can I use my existing 7.x license file and/or hardware key for ArcGIS 8.1?

Answer

Your 7.x license manager can be upgraded to support ArcGIS 8.1. You may use your existing hardware key, but you must reinstall the license manager using the ArcGIS 8.1 install and license file.
