Importing metadata from an .xml, or any ArcGIS item, to a layer file using the Metadata importer tool, import metadata from the ArcToolBox, or the import tool from the Description window does not import metadata to the layer file.

Workaround

Import Metadata to the shapefile before saving it as a layer file.
