Workaround

Partial workaround is to use the Import Annotation from CAD tool and set reference scale to 5. The process for defining an appropriate reference scale is described at <a href="http://webhelp.esri.com/arcgisdesktop/9.3/index.cfm?id=3257&pid=3254&topicname=Converting_CAD_text_to_an_annotation_feature_class" target="_blank">http://webhelp.esri.com/arcgisdesktop/9.3/index.cfm?id=3257&pid=3254&topicname=Converting_CAD_text_to_an_annotation_feature_class</a>This is only a partial workaround as it converts the annotation to be the right size, but it does not preserve the color and size of the two fonts in the input dxf.
