Use the ArcView Projection Utility

Summary

ArcView 3.2 comes with a Shapefile projection Utility. You can use this utility to change the coordinate system of your shapefiles, including projections and datums. This document contains several examples demonstrating how to use the utility. You situation may be different from these listed here and require different parameters. Refer to the ArcView Help topics for more information
